By accessing or using the Ghost Ad Server platform ("Ghost," "we," "our," or "the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service.
Ghost is a self-serve ad serving platform that provides contextual targeting, impression and click tracking, real-time analytics dashboards, and programmatic ad delivery via API and JavaScript SDK. The Service enables advertisers and publishers to create, manage, and optimize ad campaigns without reliance on third-party cookies or personal data tracking.
You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Ghost immediately of any unauthorized access or use of your account.
You may not use Ghost to serve, distribute, or promote ads that:
Advertisers are solely responsible for the content of their ad creatives, landing pages, and claims made therein. You are responsible for ensuring your ads comply with all applicable advertising regulations, including but not limited to guidelines set by the FTC, ASA, and equivalent bodies in your jurisdiction. Ghost does not pre-screen ad content and assumes no liability for advertiser materials.
Ghost retains all intellectual property rights in the platform, its source code, documentation, APIs, SDKs, and related materials. Customers retain full ownership of their ad creatives, campaign data, and account configurations. Neither party grants the other any rights to its intellectual property except as expressly stated in these terms.
Ghost reserves the right to remove any ad creative, suspend any account, or terminate service at our sole discretion if we determine that a violation of these terms has occurred. Ghost may modify, update, or discontinue platform features at any time with reasonable advance notice to affected users.
Fees are billed according to your selected plan and usage tier. All fees are non-refundable unless otherwise required by applicable law. Ghost reserves the right to change pricing at any time with at least 30 days' prior written notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.
The Service is provided on an "as-is" and "as-available" basis. Ghost does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Ghost does not guarantee specific uptime or availability unless expressly covered by a separate Service Level Agreement (SLA). Ghost is not liable for outages caused by third-party infrastructure providers, network failures, or force majeure events.
To the maximum extent permitted by law, Ghost's total aggregate liability for any claims arising out of or related to these terms or the Service shall not exceed the total amount paid by you to Ghost in the twelve (12) months preceding the event giving rise to the claim. In no event shall Ghost be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
You agree to indemnify, defend, and hold harmless Ghost and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your ad content, or your violation of these terms.
Either party may terminate this agreement at any time for any reason. Upon termination, your account will be deactivated and your data will be retained for thirty (30) days before permanent deletion. You may request an export of your data at any time prior to the deletion date. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.
Ghost reserves the right to update or modify these Terms of Service at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised terms. Material changes will be communicated via email or a prominent notice within the dashboard at least fourteen (14) days before they take effect.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.
